USA Technologies urges shareholders to support board nominees, cites urgency over COVID-19

USA Technology's board of directors has advised shareholders to vote in favor of the board's proposed directors at the annual shareholder meeting April 30 in the face of a proxy contest by one of its investors, Hudson Executive Capital. The letter to shareholders, from Donald Layden Jr., president and CEO, noted that the vote is especially necessary in light of the COVID-19 health emergency and economic disruption.

The USAT slate of director nominees includes Layden, Lisa Baird, Kelly Kay, Robert Metzger, Patricia Oelrich, Ellen Richey, Sunil Sabharwal, William Schoch, Anne Smalling and Ingrid Stafford. In total, the USAT slate of nominees will comprise 10 individuals, nine of whom would serve as independent directors, and eight of whom will have been appointed since April 2019.
