Biosign to buy med-kiosk firm Healthanywhere for $4.3 million

Toronto-based Biosign Technologies announced it will purchase for $4.3 million Healthanywhere, a privately-held eHealth solutions provider whose products include the Health Station, a site-based health management kiosk.

Biosign will issue 3.5 million common shares to pay for the deal which still must be approved by the TSX Venture Exchange. The transaction is expected to close on or about Oct. 12.

Healthanywhere provides software solutions addressing wellness promotion and self-managed care, along with chronic disease management, particularly hypertension, diabetes, congestive heart failure, asthma, obesity and mental disorders. The solutions are certified for sale in Canada and the United States as medical devices.

Biosign could use Healthanywhere software as a platform for providing unique services for cardiovascular risk assessment, medication optimization and adverse event monitoring, according to the firms.

Healthanywhere’s product set includes:

* "Health On The GO" - a mobile platform for smart phones that acts as a personal telehealth assistant for monitoring vital signs, including advanced features such as calendars, reminders and questionnaires as effective tools to track, manage and promote adherence to individual care plans;
 
* "Health at Home" - a chronic disease management platform with a user-friendly graphical interface available on touch screen technology. The platform can be installed on a variety on non-proprietary hardware (PC, netbook or tablet PC) to provide a rich user environment for data capture, access to educational or nutritional content and interactive healthcare information exchange between patients and providers;

* "Health Station" - a site-based health management kiosk installable at specialized locations. It provides users secure access to their patient profile with the ability to capture vital sign data into their personal health record and to view pertinent nutritional or educational content. This platform is designed for screening and early detection, assessment and wellness promotion, in either highly-visible or discrete locations. It may be configured for two-way video capability.

In addition, Healthanywhere has developed two health portals with online access to a secure website to view patient/user data and to facilitate health management by professionals and individual users. The entire platform has received FDA 510k clearance as a class II medical device.

Biosign provides biomedical systems. Key applications include intelligent systems for noninvasive monitoring of common health risks associated with blood pressure, glucose and medication. The core technology combines measurement, analysis and rapid knowledge formation to support health monitoring across global markets. The UFIT medical device technology powers quality data collection and analytics for clinical diagnostics, self-care, wellness, disease state evaluation and management, and remote patient monitoring.
